CONTAXI TERMS OF SERVICE 

PLEASE READ THESE TERMS OF SERVICE ("AGREEMENT") CAREFULLY BEFORE USING THE CONTAXI MOBILE APPLICATION ("APP"), OWNED AND OPERATED BY CONTAXI LLC (“DEVELOPER”). 

By accessing or using the Contaxi App, you ("User") agree to be bound by these Terms of Service. This App is intended solely for private social coordination between friends. If you do not agree with these Terms, you are prohibited from using the App. 

 

1. DEFINITIONS 

  • "App": Refers to the mobile application "Contaxi" provided by the Developer.

  • "User": Any individual who accesses the App.

  • “Platform” means a private, closed social bulletin board that allows Users to share location or travel-related status updates only with individuals with whom they have a pre-existing personal relationship established outside the App, such as friends, family members, coworkers, classmates, or members of an existing social group.

 

2. NATURE OF SERVICE; NO COMMERCIAL USE 

Contaxi is a free social communication tool, not a transportation service, intermediary, or Transportation Network Company (TNC). 

  • Communication Only: The App facilitates the posting of status updates (where a User is and where they need to go). It does not "match" users, nor does it provide an "Accept" or "Book" button.

  • No Commercial Transactions: The App is strictly for non-commercial use. The App does not facilitate, process, or handle any financial transactions.

  • No For-Profit Driving: Users are strictly prohibited from using the App to generate profit. Any exchange of funds between Users must be strictly limited to a "share-the-expense" carpooling basis (reimbursing for gas or tolls) in accordance with the 2026 IRS Standard Mileage Rate (72.5 cents per mile). Receiving payment for time or service is a violation of these Terms. 

 

2A. CARPOOL SAFE HARBOR; NOT-FOR-HIRE USE

Contaxi is intended solely to support casual, not-for-profit carpooling between individuals who share a pre-existing personal relationship.

The App functions exclusively as a communication and status-sharing tool. It does not provide, arrange, dispatch, schedule, broker, match, or otherwise facilitate transportation services.

Any transportation discussed or coordinated by Users shall constitute casual carpooling, meaning transportation that:

  • Is incidental to the driver’s own planned trip;

  • Is conducted without any profit motive;

  • Is limited strictly to expense sharing for fuel, tolls, parking, or vehicle operating costs;

  • Is not advertised, offered, or made available to the general public;

  • Is not conducted on a regular, commercial, or on-demand basis.

Reimbursement of shared expenses does not constitute compensation, remuneration, or consideration for transportation services.

Contaxi LLC does not receive any portion of shared expenses, does not monitor or control transportation activity, and does not benefit financially or otherwise from any transportation independently arranged by Users.

 

2B. PRE-EXISTING RELATIONSHIP REQUIREMENT

The Contaxi App is not a public marketplace and is not intended for use by strangers to locate or offer transportation.

Users may only view, interact with, or coordinate with individuals with whom they have a pre-existing, offline social relationship that predates use of the App.

The App may not be used to:

  • Solicit rides from unknown individuals;

  • Offer rides to the general public;

  • Establish first-time transportation relationships;

  • Replace or supplement commercial or on-demand transportation services.

Any use of the App in violation of this Section constitutes a material breach of these Terms and may result in immediate suspension or termination of access.

 

3. INSURANCE DISCLOSURES 

  • Personal Policy Exclusions: Users acknowledge that in 2026, most personal auto insurance policies contain exclusions for "carrying persons for a charge" or for "rides coordinated via a digital network."

  • Risk of Denial: Coordination of a ride via a dedicated app—even for free—may lead to an insurance company denying a claim.

  • User Responsibility: Users are solely responsible for ensuring their auto insurance covers social carpooling. 

 

4. NO WARRANTIES; "AS-IS" SERVICE 

The Developer provides the App "as-is" and "as-available." We make no representations regarding the reliability or safety of any User or vehicle. We do not warrant that the App will be uninterrupted or error-free. 

 

5. LIMITATION OF LIABILITY 

To the fullest extent permitted by 2026 law, Contaxi LLC shall not be liable for any indirect, incidental, or consequential damages. Specifically, the Developer is not liable for any accidents, injuries, health emergencies, or property damage incurred during or after the use of the App. Because the App is provided free of charge, the Developer’s total liability shall not exceed $0.00. 

 

6. USER REPRESENTATIONS AND VERIFICATION 

The Developer does not perform criminal background checks, DMV record searches, or vehicle inspections. 

  • Vetting: It is the User's sole responsibility to independently verify the identity and safety of any individual they choose to interact with.

  • Trust-Based Use: Users should only engage with individuals they personally know and trust. 

 

7. INDEMNIFICATION 

You agree to indemnify and hold harmless Contaxi LLC and its representatives from any claims, losses, or legal fees (including attorneys' fees) arising from your use of the App, your interactions with other Users, or your breach of this Agreement. 

 

8. SUBSCRIPTIONS AND FEES 

There are no subscription fees, paywalls, or usage charges for the Contaxi App. The App is provided as a free service. Any solicitation of money for the use of the platform is unauthorized. 

 

9. NO AGENCY OR PARTNERSHIP 

Nothing in this Agreement creates an agency, partnership, or employment relationship. Users are not employees or contractors of Contaxi LLC. 

 

10. PRIVACY AND 2026 COMPLIANCE 

Your use of the App is governed by the Contaxi Privacy Policy. In accordance with 2026 digital standards, we do not utilize "infinite scroll" or "predatory notification" algorithms. Users have the right to request total deletion of their data at any time. 

 

11. GOVERNING LAW AND ARBITRATION 

This Agreement is governed by the laws of the State of Alabama. Any disputes shall be resolved through binding arbitration in Mobile, Alabama, in accordance with the rules of the American Arbitration Association. 

 

12. MODIFICATIONS TO TERMS 

We reserve the right to update these Terms at any time to reflect changing 2026 regulations. Continued use of the App constitutes acceptance of the new terms.
